Documents required for NGO Registration:

Foundational Documents:

Proof of Identity for Directors:

  • Aadhaar Card
  • Voter ID

  • Driving License

Address Proof of the Registered Office:

  • Utility bill (electricity, water)
  • Property tax receipt
  • Lease agreement (if applicable)

Process of NGO Registration:

1. Obtain DSC and DIN for Directors: Acquire a Digital Signature Certificate (DSC) for each proposed director. File Form DIR-3 with the Registrar of Companies (ROC) along with identity and address proofs (passport, voter ID, Aadhaar, electricity bill, driving license, PAN card, house tax receipt, business address proof, society name) to obtain a Director Identification Number (DIN) for each director.

2. Apply for Company Name: File Form INC-1 with the ROC, proposing up to 6 preferred names. ROC will allot one available name.

3. Apply for NGO License: File Form INC-12 with the ROC, attaching: Declaration as per Form INC-14 (from a Chartered Accountant) Declaration as per Form INC-15 Draft Articles of Association (AOA) and Memorandum of Association (MOA) as per Form INC-13 Estimated Income & Expenditure for the next 3 years

4. Receive NGO License: Upon approval, the NGO license will be issued in Form INC-16.

5. Apply for Incorporation: File SPICE Form 32 with the ROC for incorporation. Upon verification, ROC will issue a Certificate of Incorporation with a unique Corporate Identification Number (CIN).

6. Obtain PAN Card: Apply for and obtain a PAN card for the NGO.

7. Apply for Tax Exemption (Optional): If seeking tax exemption, apply under Section 12A and 80G of the Income Tax Act.
